Practice structure · PC-MSO formation

Friendly PC-MSO formation for clinics, med spas and telehealth brands

Most states restrict who can own a medical practice. If you are not a physician, a friendly PC-MSO structure is how you own the business legally: your management services organization (MSO) owns the brand, technology and operations; a physician-owned professional corporation (PC) delivers care.

Frequently asked questions

What is a friendly PC-MSO?
Two companies: an MSO the founder owns that provides non-clinical services, and a professional corporation owned by a licensed physician that provides care. A management services agreement connects them and keeps clinical decisions with the PC.
Do I need a PC-MSO in my state?
In states with a corporate practice of medicine doctrine, usually yes. Some states allow lay ownership, but multi-state telehealth brands often use one structure everywhere. Our 50-state CPOM guide covers each state.
Can you provide the physician owner?
Yes. MyOrbitHealth matches you with a licensed physician PC owner in the states you serve.
Do I own the structure?
If you choose the own-your-structure engagement, yes. If you launch on MyOrbitHealth's existing structure, you own your brand, patients and data, and MyOrbitHealth's licensed providers deliver care.
How much does PC-MSO formation cost and how long does it take?
Fees and timing depend on the number of states and the services you need, and are confirmed in your agreement. Book a structure call for a scoped quote.
Is this legal advice?
No. We work with healthcare counsel, and your own attorney should review the agreements.

Plan your practice structure

Tell us your service lines and states, and we will map the structure that fits.

Services, software access, state coverage, fees and timing are confirmed in your agreement. Clinical ownership and decisions remain with the licensed medical entity. State-specific legal requirements should be reviewed with your counsel.
